ROUTD Technology Limited and its subsidiaries recognises the importance of privacy. We want you to feel confident interacting with us and using our services. This Privacy Policy is to help you understand what information we collect about you and your company and in some cases the end user customers of your company; and why, what we do with the information and how we share it. It also explains the choices available to you regarding any personal information we may collect and how you can access and update this information.

2. Scope of Privacy Policy

This Privacy Policy applies to the information we obtain through your use of our website located at www.routd.co.uk or any social media sites maintained by us from time to time (together with any subdomains and other related pages, our “Site”), your use of our hosted solutions or other products or services, including by downloading our mobile or other applications to your computer, mobile phone, tablet or other electronic device, or when you create an account, email us, call us, send us a message, complete any of our online or paper forms, or otherwise interact with us (collectively, the “ROUTD Services”). Due to the primary nature of the ROUTD Technology Services, where businesses can manage and coordinate deliveries to their end user customers, we also where applicable collect and process information, including at times personal data, of such end user customers.

In general, any personal data collected during such processes will be used in order to reply to your queries, to allow you and as applicable the end user customers of your business to use or receive the benefit of the ROUTD Technology Services, to carry out marketing activities, to provide customer support and to carry out analyses, all in order to ensure you and as applicable the end user customers of your business have an optimized experience.

3. Information We Collect

We collect information about you and your company as well as, where relevant, about the end user customers of your business, as you use, access or interact with our Site and the ROUTD Technology Services. Such information may be gathered directly by us or through the services of third parties. Different ways that we collect and use your information include:

ACCOUNT AND PROFILE INFORMATION

We collect information about you, your company and where relevant, about the end user customers of your business, as you or your company register(s) for an account, whether it is a trial account or full services account, and when you (or your company) create or modify your profile, or otherwise use, access or interact with the ROUTD Technology Services. Such information may include for example contact information such as name, email address, mailing address and telephone number, billing information such as credit card details and billing address, profile information such as username, profile photo and job title and preferences information such as notification and marketing preferences. In some cases another user (such as a system administrator) may create an account on your behalf and may provide your information, including personal information (typically when your company requests that you use the ROUTD Technology Services).

You or the other user (a system administrator or other relevant party) may also give us permission to access your information from other services. For example, your information with us may be linked to your account with Google, Microsoft Office 365 or other third-party account, which may allow us to obtain information from such accounts (like your basic profile or contacts or calendar scheduling).

DEVICE TYPE

When you register or use our mobile application (the “App”), we collect device type and UUID, a unique identifier generated within the App, and store this information in log files. We use this information to provide you with the most up to date application and features, or to advertise or promote products and services to you.

WEB LOGS AND ANALYTICS

As is true with most websites and services delivered over the internet, we gather certain information and store it in log files when you interact with our Site and use the ROUTD Technology Services. Often such information is recorded automatically as your browser sends it whenever you visit our Site or otherwise use the ROUTD Technology Services. Information may include for example internet protocol (IP) addresses as well as browser type, internet service provider, URLs of referring/exit pages, operating system, date/time stamp, information you search for, locale and language preferences, identification number associated with your devices, your mobile carrier and system configuration information. Different types of information may also depend upon whether you are using a Mac or PC, or an iPhone or Android phone, as well as the specific security settings you have implemented on such device.

Tracking information is also collected and stored in log files as you navigate through the Site and use the ROUTD Technology Services, including, but not limited to purchase history, delivery location history, and click tracking. Due to the nature of the ROUTD Technology Services, such information will also include information of your end user customers and other relevant parties that are receiving your services or the benefit of the ROUTD Technology Services.

In addition, and subject to your opt-out preferences as further explained in this Privacy Policy, we collect analytics information when you interact with our Site or use the ROUTD Technology Services. This analytics information may include for example information about the feature and function of the ROUTD Technology Services being used, the associated license identifier and domain name, the username and IP address of the individual who is using the feature or function.

ROUTD Technology may use third party advertising tools (including Google marketing and similar advertising tools). This means that information related to your web browsing behaviour may be collected while visiting our site, which later can be used by third-party vendors, including Google, for the purpose of showing ROUTD Technology advertising on sites across the internet which have been approved in the display network. You have the option to opt out of Google’s use of cookies by visiting the Google advertising opt-out page.

Google Adwords Conversion Tracking: ROUTD Technology may utilise Google Adwords Conversion tracking to help us collect general usage statistics on how many site visitors have clicked on our Google ads and made an enquiry or purchase with us. This may be tracked using cookies which do not contain any personally identifiable information and expire within 30 days. GEOLOCATION DATA

If you use the ROUTD Technology Services through your mobile device, we will collect your geo-location information so that we can determine, for example, to which distributor or retailer we should send an end user customer’s order for fulfilment. We will not share this information with third parties other than to use this information for the purpose of fulfilling such order and otherwise in accordance with this Privacy Policy. You may at any time no longer allow the App to use your location by turning this off at the device level; however in such case we will no longer be able to provide the ROUTD Technology Services to you.

INVITATIONS TO ROUTD TECHNOLOGY

If you choose to invite a party to use the Site or the ROUTD Technology Services by completing an online or hard copy form, you will need to provide the name and email address of such party. ROUTD Technology stores this information to track the results of the invitation referrals.

COOKIES

To help us serve your needs better and those of your end user customers, ROUTD Technology and our third party partners, such as advertising and analytics partners, use “cookies” to store and sometimes track user information. These cookies may be either “session” cookies (that last until you close your browser) or “persistent” cookies (that last until you or your browser delete them). A cookie is a small amount of data that is sent to your browser from a web server and stored on your computer’s hard drive. Some of the cookies we use are associated with your account (including personal information about you such as the email address you gave us), and others are not.

A website can use cookies to recognize repeat users or track web usage behaviour and other activities, or those of your end user customers. Cookies take up minimal room on your computer and cannot damage your computer’s files. Cookies work by assigning a number to the user that has no meaning outside of the assigning web site. Users of the Site or ROUTD Technology Services should be aware that non-personal information and data may be automatically collected by virtue of the standard operation of ROUTD Technology’s computer servers or through the use of cookies. There may, however, be many features of the ROUTD Technology Services which require the use of cookies in order to provide for the delivery of information and services to you or your end user customers.

Users should be aware that ROUTD Technology cannot control the use of cookies (or the resulting information) by unrelated third parties. The use of third- party cookies is not covered by our Privacy Policy. We do not have access to or control over these cookies.

PUBLIC FORUMS

Our Site may offer publicly accessible blogs or community forums. You should be aware that any information you provide in these areas may be read, collected, and used for any purpose by others who access them. We are not responsible for the personally identifiable or other information you choose to submit in these areas. To request removal of your personal information from our blogs or community forums, contact us at privacy@routd.co.uk. In some cases, we may not be able to remove your personal information, in which case we will let you know if we are unable to do so and why.

INFORMATION FROM OTHER SOURCES

We also obtain information from third parties and combine that with information we collect through our Site and the ROUTD Technology Services. For example, we may have access to certain information from a third- party social media or authentication service if you interact with our Site or use the ROUTD Technology Services through the service or otherwise provide us with access to information from the service. Any access that we may have to such information from a third-party social media or authentication service is in accordance with the authorization procedures determined by that service.

4. Use of Disclosure of Information

We use and disclose your information for the primary purpose for which you have provided the information and overall to provide the ROUTD Technology Services. Such primary purpose may include for example:

  • To facilitate scheduling, manage your account, responding to your inquiries or providing other customer services and support, or with respect to your end user customers;
  • To alert you about relevant payment information including for example past, current and upcoming charges, presenting billing history and performing internal finance processes;
  • To understand and improve the ROUTD Technology Services by researching and analysing your use of, or interest in, the ROUTD Technology Services or other products, services or content offered by others;
  • To communicate with you by means, for example, of service and administrative emails to ensure the ROUTD Technology Services are working effectively;
  • Subject to your opt-out preferences, to communicate with you regarding new potential product or services features, or other news about us or on topics we think would be of interest to you.

In addition to the use and disclosure of information outlined above, we also use and disclose information for purposes ancillary and consequential to the primary purpose of collection. To this end we may also use the services of agents, service providers or contractors. Such third party service providers may include for example parties that provide website development, crash reporting and related services, application development, hosting, maintenance, back-up, storage, virtual (or cloud computing) infrastructure, payment processing, analysis, marketing, SMS and other alerting services, providing customer support, account administration and other services. These service providers may have access to or process your information for the purpose of providing those services for us.

We may also disclose information (including personal information) to a third party if (a) we believe that disclosure is reasonably necessary to comply with any applicable law, regulation, legal process or government request, (b) to enforce our agreements, policies and terms of service, (c) to protect the security or integrity of the ROUTD Technology Services, (d) to protect ROUTD Technology and its rights and properties, and those of our agents, customers and others, and to protect such parties and the public generally from harm or illegal activities, or (e) to respond to an emergency which we believe in good faith requires us to disclose information to assist in preventing the death or serious bodily injury of any person.

We may share or transfer your information, including your personal information, in connection with, or during negotiations of, any merger, sale of company assets, financing or acquisition, divestiture or dissolution of all or a portion of our business, including for purposes of investor presentations and general information. In the event of an insolvency, bankruptcy or receivership, personal information may also be transferred as a business asset.

5. Security of information

We use appropriate security measures to help protect the security of your personal data both online and offline, including by means of using encryption technology. These measures vary based on the sensitivity of the information that we collect, process and store and the current state of technology. We retain the personal data we collect for so long as reasonably necessary to fulfill the purposes for which the data was collected, to perform our contractual and legal obligations and for any applicable statute of limitations periods for the purposes of bringing or defending claims.

Please note however that no website or internet transmission is completely secure. We cannot guarantee the security of our database, nor can we guarantee that information you supply won’t be intercepted while being transmitted over the internet. Any information you transmit to ROUTD Technology you do at your own risk and ROUTD Technology cannot accept any liability for any loss or damage suffered by you as a result of any unauthorized access to or disclosure of information supplied by you.

We recommend that you take steps to protect against unauthorized access to your device and account. In furtherance of the foregoing, among other measures, we recommend that you use unique numbers, letters and special characters in any passwords you create and not disclose your passwords to anyone. If your password to your account with us has been compromised for any reason, you should immediately notify ROUTD Technology and change your password.

6. Accuracy of personal information

We take reasonable steps to ensure that the information we collect is accurate and up to date at the time of collection. In order to keep your personal information accurate and up to date with respect to your account with us, you can log in to review and update your account information, including contact and billing information, via your account settings page.

In other circumstances outside of any account, or otherwise as needed in order to change or update the accuracy of our records, please contact us and we will take reasonable steps to amend the information.

7. Access

You may request access to, changes or deletions of, personal information that we hold about you by contacting us at privacy@routd.co.uk Please note that even if you request that we delete data we have collected from you, we may still retain data collected from you in an aggregated or anonymized form that does not identify you. We will also not delete your data if we are legally required to retain it.

You may also ask us what we do with your personal data, or request restrictions on the processing of such information and can revoke your consent at any time. In addition, you may at any time lodge a complaint or ask for the deletion or transfer of your personal data.

8. International Operations

Transfers out of the E.U. and Switzerland

Please note that when you access the ROUTD Technology Services, your information may be sent to the U.S. and possibly other countries. Some, but not all of this, may be in connection with routing your communications that are sent via the ROUTD Technology Services in the most efficient way. We store information on servers located in the U.S., and may also store information on servers and other equipment in other countries.

ROUTD Technology complies with the E.U.-U.S. Privacy Shield Framework and the Swiss – U.S. Privacy Shield Framework as set forth by the U.S. Department of Commerce regarding the collection, use and retention of personal information transferred from the European Union and Switzerland to the U.S. ROUTD Technology has certified to the Department of Commerce that it adheres to the Privacy Shield Principles. GENERAL DATA PROTECTION REGULATION

For our customers, prospective customers and other relevant parties located in the European Union and other relevant jurisdictions, ROUTD Technology is committed to compliance with the E.U. General Data Protection Regulation (“GDPR”). We will not collect, store or process any personal data other than in the context of a legitimate interest for the operation of our business, including the provision of the ROUTD Technology Services, or otherwise as disclosed in this Privacy Policy, where consent has been obtained as required from the relevant party or as allowed by applicable law. You may have other rights and remedies under the GDPR.

9. California Do-Not-Track Disclosure

ROUTD Technology does not currently respond to web browser-initiated Do-Not-Track signals.

We may update this Privacy Policy to reflect changes to our information practices. We encourage you to review this page periodically for the latest information on our privacy practices.
